1. Who you are contracting with
These Terms of Service ("Terms") are a binding agreement between you and Cache Technologies and Communications Pvt Ltd ("ValorMax", "we", "us", "our"), a private limited company incorporated in India, trading as ValorMax. By creating an account, joining the waitlist, or otherwise using the ValorMax website or application (the "Service"), you agree to these Terms.
2. Acceptance
Your continued use of the Service constitutes acceptance of these Terms and our Privacy Notice and Refund Policy. If you do not agree, you must stop using the Service. You confirm you have authority to bind your organisation (if applicable) and are of legal age in your jurisdiction.
3. Description of the Service
ValorMax is a spend-optimization platform that helps individuals and businesses track credit cards, loyalty programs, points, and miles, and recommends optimized redemptions. ValorMax is not a bank, payment processor, financial adviser, tax adviser, or investment adviser. All recommendations are informational only.
4. Account, credentials, and accuracy
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information and keep it current. You must notify us promptly of any unauthorised use.
5. Acceptable use
You must not misuse the Service. You agree not to:
- use the Service for any unlawful, fraudulent, or deceptive purpose;
- send spam or unsolicited communications;
- infringe any intellectual property, privacy, or other rights;
- interfere with the security of the Service, including by introducing malware, probing or scanning for vulnerabilities, or attempting to scrape, reverse engineer, or circumvent technical limits;
- resell, sublicense, or redistribute the Service without our written consent.
6. Intellectual property
We retain all right, title, and interest in and to the Service, including all software, documentation, content, branding, and trademarks. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service within the plan you have purchased.
7. User content
You retain ownership of content you submit to the Service (e.g., transactions, notes). You grant us a limited licence to host, process, and display that content solely to operate and improve the Service.
8. Payments, subscriptions and billing — Paddle as Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Subscriptions auto-renew at the end of each billing period unless cancelled. You may cancel at any time through the customer portal; access continues until the end of the paid period. See our Refund Policy.
9. Service level and warranties
We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. ValorMax outputs (including recommendations, savings estimates, and rewards valuations) may be inaccurate or out-of-date and are not a substitute for professional financial, tax, or legal advice.
10. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms is capped at the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, special, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury where such exclusion is prohibited by law.
11. Indemnity
You agree to indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.
12. Suspension and termination
We may suspend or terminate your access for material breach, non-payment, security or fraud risk, or repeated policy violations. On termination your right to use the Service ends and we may delete your data after a reasonable export window.
13. Changes
We may update these Terms from time to time. Material changes will be notified by email or in-app. Continued use after the effective date constitutes acceptance.
14. Governing law
These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka.
